Gun Jumping

A solicitation or offer of securities before the registration statement relating to the public offering that has been filed. Gun jumping can take many forms. The US federal securities laws interpret the concept of an “offer” broadly and restrict communications around the time of a securities offering in order to ensure that the prospectus for the offerings, which has been reviewed by the SEC, is the basis for an investment decision.
