Principal Transaction
A transaction in which the financial intermediary, generally referred to as the underwriter (in the case of a registered public offering) or as dealer/manager or an initial purchaser (in the case of a Rule 144A offering), is purchasing securities from an issuer (or other counterparty) for its own account for resale and incurring some regulatory capital commitment in connection with doing so.
