SUSMI or “substantial US market interest” is a classification for securities under Regulation S that takes into account whether there is US market interest in the securities of an issuer in order to determine whether there is a heightened risk that securities of that issuer sold offshore will flow back into the United States, requiring the imposition of additional safeguards.
